Our work includes helping companies of all sizes with business services such as HR and payroll, accounting and tax, corporate secretarial, global governance and administration and fiduciary services.**Job Purpose**In this role of Legal Counsel, you report directly to Head of Legal North Latam. The in-house Legal Department assists and advises the management board of TMF mainly at Costa Rica and Mid Americas countries on legal matters, including but not limited to risk management, governance and director's liability matters.As Legal Counsel you will be part of TMF's Global Legal Function, which is a centralised global function that delivers efficient high-quality legal solutions and provides assurance on the oversight and control of legal risks throughout TMF Group. TMF's Global Legal Function is developing from a classic service delivery model to partnering with the business, supporting, and ensuring long-term continuity and compliance with local laws and regulations.**Key Responsibility**- As part of the second line of defence, you will be advising the first line (operational business teams) on risk management, directors liability risks, claims & litigation and complex legal transactions.- You will pro-actively advise on and support local management with the following legal topics: cosec, local client contracting, strategic regulatory advice, procurement, legal entity management, various registrations, intercompany agreements, HR support, claims & litigation and remediating internal audit findings- You are responsible for the corporate housekeeping of the group structure, including the preparation and review of legal documentation inter alia relating to the decision making of TMF legal entities and intra-group transactions.- You will assist in the review and preparation of contracts (i.e., intercompany agreements and supplier contracts) and any other legal documents under the supervision of the Head of Legal.- You assist the Head of Legal with any governance related matters.- As part of your activities, you will communicate directly with local regulator, external advisors, banks and (tax) authorities, as the case may be.- Work with Head of Legal North Latam in order to ensure that Group Corporate & Claims is timely reported of legal cases and control of related external spend.- Work with Group Global Client Contracting to ensure the implementation of local service agreement templates and standards in the market, and timely escalations in accordance with the applicable approval matrix.- Together with the Group Privacy office and Risk & Compliance team, you ensure compliance with the GDPR and other data protection laws;- Work together with other stakeholders within the Global Legal Function to ensure delivery of the Global Legal Function's projects and priorities.**Requirements**:- A strong ambition to develop him or herself in an international corporate environment;- A serious interest in corporate law and contract law, who is pro-active, self-confident and who's at his/her best working in a fast pace environment;- Between -5-8 years of relevant experience;- Excellent English written and verbal communications skills.**Advertised**: 14 Aug 2023 Central America Standard Time**Applications close**: 13 Sep 2023 Central America Standard Time
